These Terms of Service (“Terms”) govern your access to and use of the K3X website, apps and services (the “Service”), provided by K3X Inc., a Delaware corporation (“K3X”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you use K3X on behalf of a company, you agree on its behalf and confirm you have authority to do so.
1. Accounts
You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account and for the users you invite to your workspace. Tell us right away at hey@k3x.ai if you suspect unauthorized access.
2. Trials, plans and billing
New workspaces may start with a 7-day free trial. When a trial ends, continued use requires a paid plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except where required by law. Usage-based features, including AI credits, are billed as described on our pricing page. We may change prices with at least 30 days’ notice before your next billing period. You are responsible for applicable taxes.
3. Your data
You own the data you upload, sync or create in K3X (“Customer Data”). You grant us a limited license to host, process and display Customer Data only as needed to provide, secure and support the Service for you, as described in our Privacy Policy. Any AI learning from your Customer Data stays within your own account and is never used to train models for other customers.
4. Acceptable use
You agree not to break the law or violate the rights of others, including anti-spam, telemarketing and privacy laws when you use email, calling or texting features; upload malware or try to access systems or data you are not authorized to access; reverse engineer, resell or build a competing product from the Service; or interfere with the security or performance of the Service. You are responsible for obtaining any consent required to contact people through K3X.
5. Third-party services
K3X connects to services such as email, calendar, calling and AI providers. Your use of those services is governed by their own terms. We are not responsible for third-party services, and an integration may change if its provider changes its offering.
6. Intellectual property
K3X and its licensors own the Service, including its software, design and branding. These Terms do not grant you any rights to our trademarks. If you send us feedback, we may use it without any obligation to you.
7. Security and confidentiality
We protect Customer Data with administrative, technical and physical safeguards and maintain SOC 2 Type II controls. Each party will keep the other party’s non-public information confidential and use it only to perform under these Terms.
8. Cancellation and termination
You can cancel at any time from your workspace settings. Cancellation takes effect at the end of the current billing period. We may suspend or terminate access if you breach these Terms or do not pay. After termination you can request an export of your Customer Data for 30 days, after which we may delete it.
9. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, K3X disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI-generated output can be inaccurate, so review it before you rely on it.
10. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party’s total liability under these Terms is limited to the amounts you paid K3X in the 12 months before the claim. These limits do not apply to your payment obligations or to breaches of the Acceptable use section.
11. Indemnity
You will defend and indemnify K3X against third-party claims arising from your Customer Data or from your use of the Service in violation of these Terms or applicable law.
12. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Continued use after that date means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
